In consideration of the premises and the mutual agreements herein contained, Buy Car Notes (hereinafter called Seller) and the Purchaser hereby agree as follows:

SECTION 1: SALE OF THE NOTE(S)

1.1 Sale of the Note. Subject to the terms and conditions hereof, the Seller will sell and deliver to the Purchaser and the Purchaser will purchase from the Seller, upon the execution and delivery hereof, the following note:

Seller represents and warrants that it is the sole owner of the Note, free and clear of all claims, liens or encumbrances of any nature. Seller agrees to waive any claim for accrued but unpaid interest.

SECTION 2: PAYMENT DATE; DELIVERY

2.1 Payment Date. Payment amounts of sold note(s) shall be made monthly.

2.2 Notes. Seller will deliver to the Purchaser original assignments of the note(s) purchased. Purchaser shall pay the Purchase Price by wire transfer, pay pal or other acceptable means of immediately available funds to such account as is designated by Seller.

SECTION 3: REPRESENTATIONS, WARRANTIES AND COVENANTS

The parties hereto represent, warrant and covenant, solely as to themselves, as follows:

3.1 Seller is not aware of any default or any events which may give rise to an event of default of any the Notes.

3.2 The Seller warrants it has all requisite corporate power and authority to enter into and perform this Agreement and the transactions contemplated hereby.

3.3 The Seller hereby represents and warrants it has performed all agreements and satisfied all conditions required to be performed or to be satisfied prior to the date hereof under the Original Transaction Documents and all other documents executed pursuant to the Note Purchase Agreements when and as required.

SECTION 4: COLLECTION

4.1 Seller will perform all collection activities with regard to the notes sold. There shall be no charge by Seller for said collection of said notes. Seller reserves the right to bring all legal actions in its name to enforce collection of said notes.

4.2 Seller may at its own expense employ such persons or companies as is required to collect said notes.

SECTION 5: REPLACEMENT OF DELINQUENT NOTES

5.1 Seller agrees to substitute all delinquent or non-performing notes with performing notes or partial assignments thereof. In the event a non-performing note is replaced, Seller shall retain full ownership of said non-performing note. Seller reserves the right to pre-pay the note by paying the remaining balance of note purchased, in full, provided that, purchaser receives the return on the note purchased agreed to herein, up to the time the note is paid in full. In other words Purchaser will receive the agreed rate of return computed to the time he or she is paid in full.

SECTION 6: CONSTRUCTION

6.1 Each covenant contained herein shall be construed (absent express provision to the contrary) as being independent of each other covenant contained herein, so that compliance with any one covenant shall not (absent such an express contrary provision) be deemed to excuse compliance with any other covenant.

SECTION 7: COUNTERPARTS

7.1 This Agreement may be executed in any number of counterparts, each of which shall be an original but all of which together shall constitute one instrument. Each counterpart may consist of a number of copies hereof, each signed by less than all, but together signed by all, of the parties hereto.

SECTION 8: GOVERNING LAW

8.1 This Agreement shall be construed and enforced in accordance with, and the rights of the parties shall be governed by, the law of the State of Oklahoma.

If you are in agreement with the foregoing, please sign the form of agreement and return it to the BuyCarNotes.com at 1224 North Portland Ave, Oklahoma City, Oklahoma 73107, whereupon the foregoing shall become a binding agreement between you and BuyCarNotes.com.
